Sterling Talent Solutions Canada Corp. ("Sterling Talent Solutions", "Sterling", "we" or "us") requests that you complete as many of the fields below as possible to assist us in providing you with a quick implementation process for the Sterling Talent Solutions services. Please also review and indicate your acceptance of the Sterling Talent Solutions Service Agreement set out in Part 3 below.

3. Service Agreement

Sterling Talent Solutions Canada Corp. ("Sterling Talent Solutions" or "Sterling") and the client named above in Part 1 ("Client") agree that Sterling Talent Solutions shall make available to Client Sterling's tenant screening and/or background checking services ("Services") subject to the terms and conditions of this Service Agreement ("Agreement"). The Effective Date of this Agreement is as set forth in the time stamp that is created when the Account Setup form is submitted by Client. In consideration of the mutual obligations set forth in this Agreement and other good and valuable consideration, the receipt and sufficiency of which is hereby acknowledged by each party, each party agrees to the terms and conditions below and Client represents that this Agreement is executed by an authorized representative of Client:

1. Services

  1. 1.1 Sterling Talent Solutions will provide the Services subject to the terms and conditions of this Agreement and according to pricing and turnaround guidelines established in Sterling's "Tenant Background Checks proposal" as well as the Statement of Work set out below.
  2. 1.2 The initial term of this Agreement shall commence on the Effective Date or such other date as the parties may agree in writing, and continue for a term of thirty-six (36) months (the "Initial Term"). Thereafter this Agreement shall automatically renew for additional twelve (12) month terms unless either party gives the other party notice of its intent not to renew at least thirty (30) days prior to the end of the then current term. The Initial Term and any subsequent terms constitute the "Term" of this Agreement.
  3. 1.3 During the Term, Client shall not obtain tenant screening services from any party other than Sterling Talent Solutions.

2. Invoicing and Payment

  1. 2.1 Sterling Talent Solutions will invoice Client monthly and payment shall be due by Client within thirty (30) days of the date of invoice. Client's failure to pay an invoice within 120 days after the date of invoice may, at Sterling's discretion, result in suspension of any or all Services to Client until payment is received by Sterling Talent Solutions. In the event that Sterling Talent Solutions must retain counsel or other services to enforce this Agreement or to recover any sum due, Client shall be responsible for such counsel's or other service provider's fees and expenses, including reasonable legal fees.
  2. 2.2 Sterling Talent Solutions reserves the right to revise its pricing for Services upon thirty (30) days written notice. Notwithstanding the foregoing, in the event federal, provincial or local government fees payable by Sterling Talent Solutions in connection with the provision of the Services increase during the Term, Sterling Talent Solutions may pass along such price increase to Client upon notice.
  3. 2.3 Client will pay any applicable taxes relating to this Agreement, other than taxes based on Sterling Talent Solutions income and franchise-related taxes.

3. Restrictions on Use

  1. 3.1 Client shall use the Services only in compliance with all applicable federal, provincial and municipal laws, orders, rules, regulations, requirements, guidelines or codes of practice, including applicable human rights and labour legislation. Client shall not engage in unlawful discrimination using the Services or information collected by or disclosed to Sterling Talent Solutions, including but not limited to gender, date of birth, ethnic or national origin and language preference.
  2. 3.2 Client shall use the Services only to screen tenants, volunteers, contractors or candidates for employment, volunteer positions or contractual relationships, in accordance with all applicable laws.
  3. 3.3 Client shall request Services in respect of an individual to be screened (the "Subject") only when Client has given prior notice to, and consent has been obtained from, the Subject in a form and manner prescribed by, or in accordance with, applicable law.

4. Confidentiality

  1. 4.1 Client shall not disclose any background screening reports provided by Sterling Talent Solutions hereunder or any other information provided by Sterling Talent Solutions in connection with the Services except as permitted by this Agreement or required by law, provided, however, that Client is not prohibited from disclosing such reports to the Subject of such report.
  2. 4.2 Each party ("Recipient") receiving information provided by the other party ("Discloser") under this Agreement must keep confidential and not disclose such information that Discloser designates in writing to be confidential, except as permitted by this Agreement or required by law, and Recipient must treat such information in at least as strict a manner as Recipient treats its own confidential information. Discloser represents and warrants that it has all necessary legal rights, consents and authority to disclose such confidential information to Recipient. Confidential information shall not include information that (i) is or becomes a part of the public domain through no act or omission of Recipient; (ii) was in Recipient's lawful possession prior to Discloser's disclosure to Recipient; (iii) is lawfully disclosed to Recipient by a third-party with the right to disclose such information and without restriction on such disclosure; or (iv) is independently developed by Recipient without use of or reference to the confidential information disclosed by Discloser. Client shall not disclose the pricing or terms of this Agreement to any third party.

5. Privacy

  1. 5.1 The parties acknowledge that Client will at all times retain control of information about identifiable individuals ("Personal Information") disclosed to, collected by or processed by Sterling Talent Solutions under this Agreement and is therefore accountable for compliance with applicable federal or provincial privacy law.
  2. 5.2 In relation to providing the Services, Sterling Talent Solutions shall collect, process, disclose, retain, and dispose of Personal Information in accordance with instructions from Client, which may be specific instructions or instructions of a general nature as set out in this Agreement or agreed to in connection with this Agreement. To wit, Sterling Talent Solutions shall:
    1. 5.2.1 Process Personal Information only to the extent and in such manner as is necessary to provide the Services or as is required by law;
    2. 5.2.2 Implement appropriate technical and organizational measures to protect the Personal Information against accidental loss, destruction, damage, alteration or disclosure. These measures shall be appropriate to the harm which might result from any unauthorised or unlawful processing, accidental loss, destruction or damage to the Personal Information and having regard to the nature of the Personal Information which is to be protected;
    3. 5.2.3 Notify Client within a reasonable amount of time if it receives a request from a Subject to have access to his/her Personal Information, or a complaint or request relating to Client's obligations under applicable federal or provincial privacy legislation or other applicable laws or regulations related to the collection and use of Personal Information;
    4. 5.2.4 Provide Client with full cooperation and assistance in relation to any complaint or request received, including by: providing Client with full details of the complaint or request; complying with a Subject access request within the relevant timelines set out by applicable laws; and providing Client with relevant Personal Information it holds in relation to a Subject;
    5. 5.2.5 Permit Client and subject to reasonable and appropriate confidentiality undertakings, to inspect and audit Sterling's data processing activities;
    6. 5.2.6 Grant access to Client's representatives ("Contacts") requiring access to background check reports through its proprietary web site according to Client's instructions. Client shall provide Sterling Talent Solutions with up-to-date lists of Contacts at regular intervals to ensure that only duly authorized Contacts have access to Personal Information, and Sterling Talent Solutions shall update its systems accordingly within a reasonable amount of time;
    7. 5.2.7 Retain copies of Personal Information, including Consent Forms, collected under this Agreement for a minimum period of two (2) years.
  3. 5.3 Client hereby provides its consent for Sterling Talent Solutions to transfer Personal Information outside of Canada where such transfer is necessary to provide the Services and fulfil its obligations contained in this Agreement. Sterling Talent Solutions shall comply with applicable Canadian federal or provincial privacy legislation regardless of where Personal Information is processed.

6. Disclaimers

  1. 6.1 Client acknowledges that the depth of information collected by Sterling Talent Solutions varies among sources and Sterling Talent Solutions cannot act as an insurer or guarantor of the accuracy, reliability or completeness of the data. Client shall be responsible for determining that its use of the Services complies with all applicable federal, provincial or local laws, rules and regulations.
  2. 6.2 EXCEPT AS EXPLICITLY SET FORTH IN THIS AGREEMENT, ALL SERVICES ARE PROVIDED ON AN "AS IS," "AS AVAILABLE" BASIS. OTHER THAN AS EXPLICITLY STATED IN THIS AGREEMENT, TO THE GREATEST EXTENT PERMITTED BY APPLICABLE LAWS (A) STERLING TALENT SOLUTIONS DISCLAIMS ALL REPRESENTATIONS, WARRANTIES AND CONDITIONS, EXPRESS, STATUTORY OR IMPLIED, INCLUDING BUT NOT LIMITED TO ANY REPRESENTATIONS, WARRANTIES OR CONDITIONS OF MERCHANTABILITY, ACCURACY OR FITNESS FOR A PARTICULAR PURPOSE, AND (B) STERLING TALENT SOLUTIONS DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED OR ERROR-FREE AND STERLING TALENT SOLUTIONS DISCLAIMS ALL CONDITIONS, WARRANTIES AND REPRESENTATIONS REGARDING AVAILABILITY OF A SERVICE, SERVICE LEVELS OR PERFORMANCE.

7. Limitation of Liability

  1. 7.1 NEITHER PARTY WILL BE LIABLE FOR ANY INCIDENTAL, SPECIAL, PUNITIVE, EXEMPLARY, INDIRECT, OR CONSEQUENTIAL DAMAGES OF ANY KIND IN CONNECTION WITH THIS AGREEMENT, REGARDLESS OF WHETHER OR NOT THE OTHER PARTY WAS AWARE OR SHOULD HAVE BEEN AWARE OF THE POSSIBILITY OF SUCH DAMAGES.
  2. 7.2 EACH PARTY'S MAXIMUM LIABILITY ARISING OUT OF OR RELATING TO THIS AGREEMENT, REGARDLESS OF THE CAUSE OF ACTION (WHETHER IN CONTRACT, TORT, BREACH OF CONDITION, WARRANTY, REPRESENTATION OR OTHERWISE), SHALL NOT EXCEED THE TOTAL AMOUNT PAID AND PAYABLE BY CLIENT HEREUNDER DURING THE 12-MONTH PERIOD IMMEDIATELY PRECEDING THE DATE ON WHICH SUCH LOSS, DAMAGE, INJURY, CLAIM, COST OR EXPENSE OCCURRED.
  3. 7.3 Notwithstanding anything to the contrary in this Agreement, the exclusions and limitations set forth in Section 7.1 and Section 7.2 above shall not apply with respect to any breach by Client of Section 3 or 4 above.

8. Termination

  1. 8.1 Sterling Talent Solutions may immediately suspend Services, in whole or in part, under this Agreement without notice to Client if Client files bankruptcy or reorganization or fails to discharge an involuntary petition within sixty (60) days after filing date. In the event of material breach of this Agreement by Client or Sterling Talent Solutions, the non-breaching party may terminate this Agreement upon written notice to the defaulting party if such breach is not cured within forty-five (45) days of written notice of such breach to the defaulting party, provided that if such breach is not capable of being cured the non-breaching party may terminate this Agreement upon written notice to the defaulting party.
  2. 8.2 The provisions set forth in Sections 4, 5, 6, 7, 8, 9 and 10 will survive the termination of this Agreement.

9. Choice of Law; Disputes

  1. 9.1 This Agreement shall be governed by, construed and enforced in accordance with the laws of the Province of British Columbia and the laws of Canada applicable therein. The Parties hereby irrevocably submit to the jurisdiction of the courts of the Province of British Columbia. The provisions of this Section shall survive and remain in full force and effect following any termination or expiry of this Agreement. Nothing in this Section shall be construed as preventing Sterling Talent Solutions from seeking injunctive or similar interim relief in any court of competent jurisdiction.

10. Miscellaneous

  1. 10.1 This Agreement, and all addenda, exhibits and schedules forming part of this Agreement (including, without limitation, Parts 1 and 2 above, the pricing and service arrangements listed in Sterling's proposal to Client, and the Statement of Work below) , constitute the entire agreement between Sterling Talent Solutions and Client regarding the Services and the subject matter hereof. All prior agreements, both oral and written, between the parties on the matters contained in this Agreement are expressly cancelled and superseded by this Agreement. In no event shall any terms or conditions included on any form of Client purchase order apply to the relationship between Sterling Talent Solutions and Client hereunder, unless such terms are expressly agreed to by the parties in writing to supersede the terms and conditions of this Agreement. Any amendments of or waivers relating to this Agreement must be mutually agreed upon in writing. The parties have required that this Agreement and all deeds, documents and notices relating to this Agreement be drawn up in the English language. In the event that this Agreement is translated into another language, this English language version of the Agreement takes precedence over any other version of the Agreement.
  2. 10.2 Neither party shall originate any publicity, or make any news release or other public announcement relating to this Agreement nor the existence of an arrangement between the parties without the prior written approval of the other party, except as otherwise required by law and upon reasonable notice to the other party.
  3. 10.3 This Agreement binds and inures to the benefit of the parties and their successors and permitted assigns, except that neither party may assign this Agreement without the prior written consent of the other party. Notwithstanding the foregoing, Sterling Talent Solutions may assign this Agreement to any of its affiliated companies or in connection with a merger or consolidation involving Sterling Talent Solutions (so long as the assignment is to the newly merged or consolidated entity) or the sale of substantially all of Sterling's assets (so long as the assignment is to the acquirer of such assets).
  4. 10.4 Neither party shall be liable in damages because of any delay or default in performing hereunder if such delay or default is caused by events or conditions beyond its reasonable control including, but not limited to acts of God (including fire, flood, earthquake, storm, hurricane or other natural disaster or unusual weather), interruption or failure of electricity or internet service, strikes, riots, acts of war or hostilities, failure of suppliers, subcontractors or carriers, except that lack of funds or credit shall not constitute such an event or condition. As a condition to such claim of no liability to excuse its performance hereunder, the party experiencing such event or conditions shall give the other prompt written notice with full details following the occurrence of the cause relied upon or any other cause beyond the reasonable control of the party whose performance is affected thereby and the prospects for that party's future performance. A party relying on such an event to excuse its performance hereunder shall not be excused from paying all amounts as they become due and payable by that party under this Agreement. If performance by either party is delayed more than 60 days due to such event or series of events, and commercially reasonable efforts have not been undertaken within that time to remedy the situation, the other party may terminate this Agreement, effective immediately, without liability, other than with respect to amounts due prior to such termination.

Statement of Work

Sterling's procedures and requirements for the provision of Services appear below:

  1. Name Based Criminal Record Check:
    • Sterling's Name Based Canadian Criminal Record Check consists of a search of adult convictions for which a record suspension (formerly termed a pardon) has not been granted in the National Criminal Records Repository (the Identification Data Bank) within the Canadian Police Information Centre (CPIC) database, maintained by the RCMP. This search is completed by a contracted Canadian Police Agency.
    • Sterling Talent Solutions requires the completed and signed Consent Forms, the applicant to review the Supplemental Information Sheet, (located at https://www.sterlingtalentsolutions.ca/resources/supplemental-name-based-criminalrecordchecks for paper based clients) and to have the applicant's identity verified by one of the three RCMP approved methods:
      1. Client representative verifies 2 pieces of ID (Primary & Secondary):
        • Primary ID must be government issued and must contain the following: Applicant's Name, Applicant's Photo, Applicant's Date of Birth and Applicant's Signature.
        • Secondary ID should ideally be government-issued; however at minimum must include the candidate's first and last name.
      2. Canada Post verifies 2 pieces of ID (Primary & Secondary):
        • Primary ID must be government issued and must contain the following: Applicant's Name, Applicant's Photo, Applicant's Date of Birth and Applicant's Signature.
        • Secondary ID should ideally be government-issue;, however at minimum must include the candidate's first and last name.
      3. Applicant completes electronic identification verification ("eIV"), provided by one of the major Canadian Credit Bureaus.
    • If Sterling Talent Solutions receives fully completed Consent Forms and identify verification the estimated expected turnaround time for a Name Based Criminal Record Check results is within one (1) business day. A "Rush" service is also available for a Name Based Criminal Record Check at an additional fee. When a "Rush" service is ordered Sterling Talent Solutions shall use reasonable commercial efforts to provide results to the Client within four (4) business hours of request. If the report is not provided to the Client within four (4) business hours of request, the additional fee will not apply.
  2. Credit Bureau Inquiry:
    • Sterling's Credit Bureau Inquiry searches one of the major national Credit Bureaus.
    • Sterling Talent Solutions only requires the completed and signed consent form to complete the search.
    • If Sterling Talent Solutions receives fully completed Consent Forms the estimated expected turnaround time for a Credit Bureau Inquiry result is within one (1) business day. A "Rush" service is also available for a Credit Bureau Inquiry at an additional fee. When a "Rush" service is ordered Sterling Talent Solutions shall use reasonable commercial efforts to provide results to the Client within four (4) business hours of request. If the results are not provided to the Client within four (4) business hours of request, the additional fee will not apply.

Incomplete Consent Forms
Incomplete Consent Forms have been identified as a source of delay and additional labour, both for clients and for Sterling Talent Solutions. As a result, Sterling Talent Solutions will only complete Services in which all required information is provided on the relevant consent form(s). In the event that a file is submitted by Client that is missing information for a specific service, Sterling Talent Solutions will notify Client, while processing the other Services. If Client has not provided Sterling Talent Solutions with the missing information and the file is scheduled to be closed, Sterling Talent Solutions will consider the service to be complete and billable.

Sterling Talent Solutions will provide monthly invoices, and payment terms are net thirty (30) days from the date of the invoice.

Client's failure to pay invoices within 120 days after the date of the invoice may, at Sterling's discretion, result in suspension of any or all Services to the Client until payment is received.
